Shared Preamble (Single Agreement)

By accessing or using UktubAI, you agree to all terms in this Master Service Agreement & Data Policy, including Service rules, disclaimers, liability limits, and data practices. Outputs and data handling are provided on an AS-IS / AS-AVAILABLE basis.

1. AI Content & Independent Verification Disclaimer

Independent verification required. UktubAI provides generative AI tools designed to assist in academic synthesis, research organization, and drafting. Like all large language model applications, the Service may occasionally generate incomplete, imprecise, or inaccurate text.

User responsibility. You are solely responsible for independently verifying all factual assertions, data interpretations, and bibliographic references against primary scholarly literature prior to any submission, publication, or distribution.

Academic & professional integrity. Users remain responsible for complying with all relevant institutional, journal, funding agency, and academic honor policies regarding the use and disclosure of AI-assisted writing tools.

2. Eligibility

You must be at least 13 to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with a parent/guardian’s consent. To purchase a paid plan, you represent you are authorized to enter a binding contract.

3. Service Description

UktubAI is an academic research workspace that generates cited literature reviews, academic reports, and grant proposals. Export formats depend on your plan. The Service processes uploaded PDFs and uses configured third-party AI providers, including OpenRouter and Google Vertex AI, to generate outputs.

4. Acceptable Use

You agree not to:

• Break laws, infringe IP, or violate others’ rights.
• Attempt to reverse engineer, disrupt, or bypass usage-limit/billing enforcement.
• Use outputs as professional advice (legal/medical/financial) without independent validation.

5. Copyrighted / Paywalled Papers (User Warranty)

You may upload papers only if you have the legal right to access and use them (including any license terms). You represent and warrant you have the necessary rights to upload and process your materials, and you will not use the Service to unlawfully distribute protected content.

6. Billing, Usage Limits, Free Tier, and Refunds

6.1 Usage Limits

Plans are usage-limited (e.g., maximum number of generated documents per period). UNUSED ALLOWANCES DO NOT ROLL OVER. Once you hit your limit, generation may stop until reset or upgrade.

6.2 Free tier

The free tier has a non-renewing lifetime cap (shown in-product / on pricing). We may modify caps/features over time.

6.3 Payments

Payments are processed by Stripe, typically recurring for paid plans (unless otherwise stated at checkout). Fees may be in USD unless specified.

6.4 NO REFUNDS (DEFAULT) + DISCRETIONARY EXCEPTIONS

ALL FEES AND CHARGES ARE NON-REFUNDABLE. ALL SALES ARE FINAL.

If we determine (in our sole discretion) that you were billed in error or there was a major service failure attributable to us, we may issue a refund or credit. WE HAVE NO OBLIGATION TO DO SO.

6.5 Billing disputes / chargebacks

Contact [email protected] within 30 days of a suspected error. Unjustified chargebacks may result in termination and collections.

7. AS-IS / NO WARRANTIES

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS. We disclaim all warranties of accuracy, reliability, fitness, availability, security, and non-infringement.

8. LIMITATION OF LIABILITY (COVERS AI + DATA)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UKTUBAI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including loss of profits, loss of data, reputational harm, loss of academic standing, or business interruption—whether arising from AI outputs, data handling, security incidents, downtime, or third-party services.

9. $10 MAXIMUM LIABILITY CAP

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UKTUBAI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IS LIMITED TO USD $10.00.

If you paid nothing, TOTAL LIABILITY IS $0.00.

10. Time Limit to Bring Claims

Any claim must be filed within one (1) year after it arises, or it is permanently barred (where permitted).

11. Data We Collect

• Account data: name, email.
• Payment data: handled by Stripe (we do not store full card details).
• Usage/technical data: IP address, browser/device signals, pages/actions.
• Uploaded content: PDFs and extracted text; may include personal data depending on what you upload.
• Generated artifacts: PDF, DOCX, LaTeX, BibTeX, and other files and logs generated during document creation.

12. Subprocessors (Who Processes Data)

We share data with subprocessors solely to operate the Service:

• Firebase (authentication, database, storage)
• Stripe (payments)
• OpenRouter and Google Vertex AI, plus their underlying model providers (AI processing)
• Firebase Hosting (hosting/infrastructure)
• Google Analytics (analytics cookies/telemetry)

13. Explicit Consent for AI Processing

BY UPLOADING DOCUMENTS OR SUBMITTING PROMPTS, YOU EXPLICITLY CONSENT to transmitting document text, prompts, and relevant context to the configured AI providers, including OpenRouter and Google Vertex AI, to generate outputs.

THIRD-PARTY CONTROL DISCLAIMER. Once transmitted to third-party AI providers, their handling/retention is governed by their own policies and technical requirements. UKTUBAI DISCLAIMS CONTROL AND LIABILITY FOR THIRD-PARTY PROCESSING BEYOND ITS DIRECT SYSTEMS.

14. Where Data Is Stored (Firebase + Browser)

• Uploaded files, source registries, and generated artifacts are stored in Firebase Storage under account- and run-specific paths.
• Temporary session data may be cached locally in your browser using browser storage.

YOU ARE RESPONSIBLE FOR BACKUPS. We do not guarantee preservation or recoverability of your data.

15. Retention and Deletion (Soft Delete)

We keep data as needed to provide the Service and comply with legal/accounting obligations. You may request deletion. Deletion uses a soft delete baseline and may not immediately remove all residual copies from logs, backups, or third-party systems.

NO DELETION GUARANTEE / FAILURE-TO-DELETE WAIVER. YOU AGREE UKTUBAI IS NOT LIABLE for delayed, partial, or failed deletion due to third-party APIs, infrastructure limitations, or backups.

16. Security

We use reasonable measures, but no system is perfectly secure. Security incidents, unauthorized access, and data loss can occur. THE LIABILITY LIMITS IN PART 2 APPLY TO ALL SECURITY AND PRIVACY CLAIMS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

17. International Transfers

Your data may be processed in other countries due to subprocessors and infrastructure locations.

18. Your Rights

Where required by applicable law, you may request access, correction, or deletion of your personal data by contacting [email protected].

19. Termination

We may suspend or terminate access at any time for any reason (including violations or risk). Upon termination, you may lose access to data and artifacts.

20. Dispute Resolution (Arbitration) — English

BINDING INDIVIDUAL ARBITRATION. Any dispute arising from the Service or this Agreement will be resolved by binding individual arbitration conducted in English, except where prohibited by law.

Informal resolution first: contact [email protected] and allow at least 60 days to attempt resolution before filing.

21. CLASS ACTION WAIVER

YOU AND UKTUBAI AGREE THAT DISPUTES MUST BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

22. Governing Law

This Agreement is governed by the laws of Canada and the Province of Ontario, without regard to conflict-of-law rules.

23. Changes

We may update this Agreement with notice in the Service or by email; continued use means acceptance.
