3. Communications and Marketing

3.1 Marketing Communications

By creating an account with UktubAI, you consent to receive marketing communications from us, including but not limited to product updates, promotional offers, and educational content related to our AI-powered research platform. We respect your inbox and you can opt out of marketing emails at any time by clicking the "Unsubscribe" link located at the bottom of any marketing email we send.

Please note that even if you opt out of marketing communications, we will still send you important transactional emails related to your account, such as password resets, billing notifications, and essential service updates that are necessary for using our platform.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Appropriate Use

You agree to use UktubAI for legitimate academic and research purposes only. You must not:

• Submit AI-generated content as your own original work without proper attribution
• Use the service to create harmful, illegal, or offensive content

4. Intellectual Property

4.1 Your Content

You retain all rights, title, and interest in your original research data, documents, and materials you upload to UktubAI. However, you grant us a worldwide, non-exclusive, royalty-free license to use, process, store, and analyze your content solely to provide, maintain, and improve our services.

For AI-generated content, you own the output but acknowledge that such content may incorporate elements from training data and public sources. You are responsible for ensuring your use complies with applicable copyright and academic integrity standards.

4.2 Service Content and Intellectual Property

All content, features, and functionality of the UktubAI platform, including but not limited to our proprietary AI models, algorithms, PDF Intelligence Engine, cross-reference resolution system, user interface designs, and collaborative research management tools, are owned by UktubAI and protected by intellectual property laws.

You may not copy, modify, distribute, reverse engineer, decompile, create derivative works from, or otherwise exploit our proprietary technology without explicit written permission from UktubAI.

5. Subscription and Payment

• Subscription fees are billed in advance on a monthly or annual basis
• All payments are non-refundable except as expressly required by applicable law
• You may cancel your subscription at any time, but no refunds will be issued for the current billing period
• Service access continues until the end of your current billing period after cancellation
• We may change pricing with 30 days notice for existing subscribers
• Failure to pay may result in account suspension or termination

6. Disclaimer of Warranties

UktubAI is provided "as is" and "as available" without warranties of any kind, either express or implied. We expressly disclaim all warranties, including but not limited to:

• Merchantability and fitness for a particular purpose
• Non-infringement of intellectual property rights
• Accuracy, reliability, or availability of the service
• Freedom from viruses or other harmful components
• Compliance with academic institution policies or publication requirements

We do not guarantee that the service will meet your requirements or that the service will be uninterrupted, timely, secure, or error-free.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UktubAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Academic consequences, penalties, or disciplinary actions resulting from use of AI-generated content
• Loss of research opportunities, grants, funding, or academic standing
• Damage to professional reputation or career prospects
• Data loss or corruption despite our reasonable backup and security measures
• Service interruptions or unavailability
• Decisions made based on research outputs without independent verification
• Third-party service failures or academic database access issues
• Scientific accuracy, methodology, or validity of generated research content

Our total liability to you for any claims arising from or relating to the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

8. Data Backup and Availability

While we maintain industry-standard backup procedures and take reasonable measures to ensure service availability, we cannot guarantee uninterrupted service or absolute data preservation. Paid accounts receive priority data recovery support and extended retention periods.

• Free tier data may be removed after 90 days of inactivity
• Users are responsible for maintaining local copies of critical research
• Service interruptions may occur due to maintenance, updates, or technical issues
• We are not liable for data loss despite our reasonable backup efforts

9. Service Modifications and Availability

We reserve the right to modify, suspend, or discontinue the service (or any part thereof) at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of the service.

We may also impose limits on certain features or services or restrict your access to parts or all of the service without notice or liability.

10. Account Termination

You may terminate your account at any time by following the instructions in your account settings or by contacting our support team. Upon termination, your right to use the service will cease immediately.

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these terms. Upon termination, your account content may be deleted without any obligation to provide a refund.

You agree to indemnify, defend, and hold harmless UktubAI, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your submission of content to the service
• Your academic or professional use of AI-generated content

12. Payment Processing

All payment processing is handled securely through Stripe, our third-party payment processor. We do not store or have access to your complete credit card information.

• Payment information is encrypted and processed by Stripe's secure servers
• Financial transactions are subject to Stripe's terms of service and privacy policy
• Refunds and payment disputes are handled in accordance with our refund policy and Stripe's policies
• Currency conversion and international transaction fees may apply based on your location

13. Governing Law and Dispute Resolution

These terms shall be governed by applicable laws in your jurisdiction. Any disputes arising from these terms or the service will be resolved through good faith negotiations and, if necessary, through appropriate legal channels in accordance with local laws.

14. Changes to Terms

We reserve the right to modify these terms at any time. If we make material changes, we will provide notice through email, our website, or other reasonable means. Your continued use of the service after such modifications constitutes acceptance of the updated terms.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.
